Welcome to Puqilo. These Terms and Conditions govern your use of our turnkey country cottage construction services and website. By engaging our services or accessing our website, you agree to be bound by these terms.


1. Definitions and Interpretation

In these Terms and Conditions, unless the context otherwise requires:

  • "Company," "We," "Us," "Our" refers to Puqilo, located at 21 Cranley Gardens, London, SW7 3DB.
  • "Client," "You," "Your" refers to the individual or entity engaging our construction services.
  • "Services" means the turnkey country cottage construction services provided by Puqilo.
  • "Project" refers to the specific construction work agreed upon in the contract.
  • "Contract" means the binding agreement between Puqilo and the Client for construction services.

2. Service Agreement

2.1 Scope of Services

Puqilo provides comprehensive turnkey construction services for country cottages, including but not limited to architectural design, planning permissions assistance, construction, finishing works, and project management. The specific scope of each project will be detailed in a separate contract document.

2.2 Quotations and Estimates

All quotations provided are valid for 30 days from the date of issue unless otherwise specified. Quotations are based on information provided by the Client and site assessments. Final pricing may be subject to adjustment based on unforeseen circumstances, changes in material costs, or modifications requested by the Client.

2.3 Contract Formation

A binding contract is formed when the Client accepts our quotation in writing and pays the initial deposit as specified. The contract will include detailed specifications, timelines, payment schedules, and any special conditions agreed upon by both parties.

3. Payment Terms

3.1 Payment Schedule

Unless otherwise agreed, payment shall be made according to the following schedule:

  • Initial deposit: 20% upon contract signing
  • Foundation completion: 20%
  • Frame and roof completion: 30%
  • Interior finishing: 20%
  • Final payment: 10% upon project completion and handover

3.2 Late Payments

Payments not received within 14 days of the due date will incur a late payment fee of 2% per month. We reserve the right to suspend work on the project until outstanding payments are received.

3.3 Additional Costs

Any changes to the original project scope requested by the Client will be subject to additional charges. We will provide written estimates for such changes before proceeding with the work.

4. Client Obligations

The Client agrees to:

  1. Provide accurate information regarding the project requirements and site conditions
  2. Obtain and provide all necessary property documentation and legal permissions
  3. Ensure site access for our personnel and equipment during agreed working hours
  4. Make timely decisions on design choices and material selections to avoid project delays
  5. Maintain adequate insurance coverage for the property during construction
  6. Provide utilities access (water, electricity) as required for construction activities

5. Project Timeline

5.1 Estimated Completion

We will provide an estimated project timeline based on the scope of work. While we make every effort to complete projects on schedule, completion dates are estimates and may be affected by weather conditions, material availability, regulatory approvals, or Client-requested changes.

5.2 Delays

Puqilo shall not be liable for delays caused by circumstances beyond our reasonable control, including but not limited to adverse weather, labor disputes, material shortages, government actions, or Client-caused delays. We will notify the Client promptly of any anticipated delays and work to minimize their impact.

6. Warranties and Guarantees

6.1 Workmanship Warranty

We guarantee the quality of our workmanship for a period of 24 months from the date of project completion. This warranty covers defects in construction workmanship but does not cover normal wear and tear, damage caused by misuse, or lack of proper maintenance.

6.2 Materials Warranty

Materials are covered by manufacturer warranties, which vary by product. We will provide documentation for all material warranties upon project completion.

6.3 Exclusions

Our warranties do not cover damage resulting from natural disasters, Client modifications, third-party work, or failure to maintain the property according to our maintenance guidelines.

7. Changes and Variations

Any changes to the agreed project scope must be requested in writing. We will provide a written estimate for the additional cost and time required. Changes will only be implemented upon written approval from the Client. Significant changes may require contract amendments and adjusted payment schedules.

8. Cancellation and Termination

8.1 Client Cancellation

The Client may cancel the contract by providing written notice. Cancellation fees will apply based on the project stage: 50% of the deposit if cancelled before work commences, or payment for all completed work plus 25% of remaining contract value if cancelled after work has begun.

8.2 Company Termination

We reserve the right to terminate the contract if the Client fails to make payments as agreed, denies site access, or breaches any material term of the contract. In such cases, the Client remains liable for all work completed and materials purchased.

9. Liability and Indemnification

9.1 Limitation of Liability

Our total liability under any contract shall not exceed the total contract value. We shall not be liable for indirect, consequential, or incidental damages including loss of profits, loss of use, or business interruption.

9.2 Insurance

Puqilo maintains comprehensive general liability insurance and professional indemnity insurance. Proof of insurance is available upon request.

9.3 Client Indemnification

The Client agrees to indemnify and hold Puqilo harmless from any claims arising from inaccurate information provided by the Client, unauthorized site conditions, or Client-directed work that deviates from building regulations.

10. Intellectual Property

All architectural designs, plans, and project documentation created by Puqilo remain our intellectual property. The Client receives a license to use these materials for the specific project only. Reproduction or reuse for other projects requires written permission and may incur additional fees.

11. Dispute Resolution

11.1 Negotiation

In the event of any dispute, both parties agree to first attempt resolution through good-faith negotiation.

11.2 Mediation

If negotiation fails, disputes shall be referred to mediation before pursuing legal action. Both parties will share mediation costs equally.

11.3 Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Privacy and Data Protection

We collect and process personal information in accordance with applicable data protection laws. Client information is used solely for project delivery, communication, and legal compliance. We do not share Client information with third parties except as necessary for project completion (e.g., subcontractors, suppliers) or as required by law.

13. Health and Safety

Puqilo is committed to maintaining the highest health and safety standards on all construction sites. We comply with all relevant health and safety regulations. The Client and any visitors must follow our site safety rules. Construction sites are dangerous environments, and unauthorized access is prohibited.

14. Environmental Responsibility

We are committed to sustainable construction practices and proper waste disposal. We comply with all environmental regulations and strive to minimize the environmental impact of our construction activities.

15. Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, war, terrorism, pandemic, government actions, or other force majeure events. We will notify the Client promptly and work to resume services as soon as reasonably possible.

16. General Provisions

16.1 Entire Agreement

These Terms and Conditions, together with the project contract and any written amendments, constitute the entire agreement between the parties and supersede all prior discussions, negotiations, and agreements.

16.2 Amendments

We reserve the right to update these Terms and Conditions at any time. Changes will be posted on our website and apply to contracts formed after the update date. Existing contracts remain governed by the terms in effect at contract formation.

16.3 Severability

If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

16.4 Waiver

Failure to enforce any provision of these Terms and Conditions does not constitute a waiver of that provision or any other provision.

16.5 Assignment

The Client may not assign or transfer their rights or obligations under the contract without our written consent. We may assign our rights and obligations to qualified subcontractors or successor entities as necessary for project completion.
